TERMS AND CONDITIONS

VANE INFRASTRUCTURE GROUP: MASTER TERMS OF SERVICE

1. SCOPE OF SOVEREIGN INFRASTRUCTURE

By accessing the Vane Infrastructure Group ("Vane") web portal or deploying the Aegis Protocol ("System"), you agree to be bound by these Terms. Vane provides proprietary revenue recovery and automated logic-gate infrastructure. You acknowledge that Vane operates the System as a "Black Box." We reserve the sovereign right to upgrade, modify, or swap the underlying software, logic models, and APIs at any time to maintain or improve revenue recovery outputs.

2. PRECEDENCE OF EXECUTED AGREEMENTS

For active deployments, the executed Master Service Agreement ("MSA") between Vane and the Partner governs. Where these Terms and an executed MSA conflict, the MSA supersedes these Terms in all respects. These Terms govern use of the web portal and any engagement prior to MSA execution.

3. CAPITALIZATION & BILLING

• 3.1 Deployment Capitalization: The initial Integration Fee acts as a capitalization floor to cover bespoke engineering and CRM mapping. This fee is split 50/50: Phase 1A due at signing; Phase 1B due on Day 7, following completion of the Dark Build.

• 3.2 The Sovereign License: A flat monthly maintenance fee covering dedicated server allocation, database management, and continuous logic gate maintenance. Billing commences exactly 30 days following the System's live launch.

• 3.3 The Performance Royalty: Vane assesses a strict 15% performance royalty on the "Revenue Delta" (Gross Revenue minus the agreed Static Baseline) generated by the System.

• 3.4 Fee Finality: All Sovereign License fees and Performance Royalties are strictly non-refundable, as they represent hard server costs and new capital already captured.

4. THE 90-DAY RISK REVERSAL PROTOCOL

Mathematical certainty is our baseline. Vane guarantees that the System will generate a minimum recovered revenue yield equal to three times (3x) the initial Deployment Capitalization within the first ninety (90) days of live deployment. If the System does not meet this threshold within that period, Vane will continue to operate, maintain, and optimize the System at its own cost — with the Sovereign License waived — until the 3x threshold is achieved. This is a continuation-based guarantee. Failure by the Partner to participate, approve API connections, or maintain CRM integrity voids this guarantee.

5. INTELLECTUAL PROPERTY & DATA SOVEREIGNTY

You retain 100% ownership of your original customer lists and brand assets. Vane retains 100% exclusive ownership of the Aegis Protocol, including all workflows, database schemas, prompts, and proprietary architecture. You are purchasing a revocable license to the outputs of the System, not the codebase. You may not reproduce, reverse-engineer, or redistribute the System.

6. CHARGEBACK & DISPUTE RESOLUTION

By engaging Vane Infrastructure Group, you agree not to initiate a chargeback or payment dispute without first contacting our legal desk (legal@useaegis.net) to resolve the matter in good faith. Initiating a chargeback without prior contact constitutes a breach of these Terms, resulting in immediate infrastructure severance and potential legal action to recover the engineered revenue.

7. THE 6-MONTH ROYALTY TAIL

Termination of services does not void Vane's equity in previously engineered revenue. The 15% Performance Royalty shall survive termination and remain fully payable for a period of six (6) months following the termination date, strictly applied to revenue generated from leads processed by the System prior to termination.

8. GOVERNING LAW & VENUE

These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the courts of the District of Columbia. Notices to Vane shall be directed to legal@useaegis.net.
